Terms of Service

Last updated September 29, 2026

These Terms of Service (the “Terms”) govern access to and use of RetinaDirect (the “Service”), which is operated by Helios Med LLC (“we”, “us” or “our”). By creating an account, accessing or using the Service, you agree to these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use the Service.

If your organization has signed an order form, master agreement or Business Associate Agreement with us, that signed agreement controls where it conflicts with these Terms.

The Service

RetinaDirect is a provider-to-provider platform for asynchronous retina image consultations. Clinicians such as optometrists and emergency clinicians submit retinal images and a short clinical question, and a credentialed retina specialist returns a written consultant opinion.

  • The requesting clinician remains the treating clinician and is responsible for all patient care decisions.
  • Retina specialists provide consultant opinions to the requesting clinician. They do not contact patients, prescribe or order treatment through the Service.
  • Patients do not have accounts and do not use the Service directly.
  • The Service does not use artificial intelligence to diagnose conditions. Interpretations are made by human specialists.

Not an Emergency Service

The Service is not an emergency service. Consultations are asynchronous and turnaround targets are not guarantees. If a patient may need urgent or emergency care, arrange that care directly and do not wait for a consultation response.

Eligibility

The Service is intended for healthcare organizations and their authorized personnel, including licensed clinicians, practice staff acting under a clinician’s supervision, and retina specialists credentialed by us. You represent that you hold any license or authorization your role requires and that you will keep that information current. We may verify credentials and may decline or suspend access where eligibility cannot be confirmed.

Accounts and Security

  • Each account is for one named individual. Do not share credentials or let others use your account.
  • Use a strong password and multi-factor authentication where the Service requires it.
  • You are responsible for activity under your account. Tell us promptly at support@retinadirect.com if you suspect unauthorized access.
  • We may require re-authentication, end sessions or lock accounts to protect the Service and its users.

Organization Administrator Responsibilities

Organization owners and administrators control who in their organization can access the Service and what each person may do. They are responsible for promptly removing access for people who leave or change roles, for granting only the permissions each person needs, and for ensuring their organization has the rights and consents needed to submit clinical information.

Acceptable Use

Use of the Service is subject to our Acceptable Use Policy, which is part of these Terms.

Subscriptions, Credits and Billing

  • Paid plans are billed in advance on a recurring basis. Consultations use credits according to your plan and the urgency selected.
  • Credits are reserved when a consultation is submitted and returned if the consultation is cancelled or expires before a specialist accepts it, as described in the Service.
  • Except as stated in these Terms, in your order form or where required by law, fees and credits are non-refundable.
  • Fees exclude taxes. You are responsible for applicable taxes other than taxes on our income.
  • We may change plans or prices with advance notice. Changes apply from your next billing period.
  • Payments are processed by a third-party payment processor. We do not store full payment card numbers.

Clinical Responsibility

Consultant opinions are based only on the images and information submitted, and may be limited by image quality or missing context. They do not replace a complete examination where one is clinically indicated.

The requesting clinician is solely responsible for deciding whether and how to use an opinion, for communicating with the patient, and for all diagnosis, treatment and referral decisions. See our Clinical & Medical Disclaimer.

Specialist Independence

Retina specialists exercise their own independent professional judgment. We do not direct the content of their clinical opinions. Specialists are responsible for maintaining their licenses, credentials and professional insurance, and for complying with the professional standards that apply to them.

Customer Data and Protected Health Information

You retain ownership of the information and images you submit (“Customer Data”). You grant us the rights needed to host, process, transmit and display Customer Data to provide the Service, including delivering it to the specialists and destinations you choose.

Where Customer Data includes protected health information (PHI), we handle it as a business associate under the Business Associate Agreement in place with your organization and applicable law. See our HIPAA & Business Associate Notice and Privacy Policy.

You are responsible for having the authority and any consents required to submit Customer Data, and for the accuracy of the information you provide.

Intellectual Property

The Service, including its software, design and documentation, is owned by Helios Med LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription for your organization’s internal clinical and business purposes. No other rights are granted.

Feedback

If you send us suggestions or feedback, we may use them without restriction or obligation to you. Do not include PHI in feedback.

Confidentiality

Each party will protect the other’s non-public information that is marked or reasonably understood to be confidential, using at least reasonable care, and will use it only to perform under these Terms. This does not apply to information that is public, already known, independently developed or lawfully received from a third party.

Third-Party Services

The Service relies on third-party providers for functions such as hosting, databases, file storage, email delivery, payment processing and fax delivery. Their services may be subject to their own terms. We choose providers carefully and, where they process PHI, require appropriate agreements, but we are not responsible for services we do not control.

Service Availability and Changes

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation, and we do not commit to a specific uptime unless a signed order form says so. We may change, add or remove features. If we remove a material feature you rely on, we will make reasonable efforts to give advance notice.

Suspension and Termination

You may stop using the Service and cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate access if you breach these Terms, if required by law, or to protect patients, users or the Service.

After termination, we will make Customer Data available for export for a reasonable period on request, and then delete or retain it as required by your agreements and applicable law.

Disclaimers

Except as expressly stated in these Terms, the Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not practice medicine and do not warrant any clinical outcome.

Limitation of Liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenues. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim. These limits do not apply where they are prohibited by law.

Indemnification

You will defend and indemnify Helios Med LLC against third-party claims arising from your Customer Data, your clinical decisions, or your breach of these Terms or applicable law, and pay resulting damages and reasonable costs finally awarded or agreed in settlement.

Governing Law

These Terms are governed by the laws of the state in which Helios Med LLC is organized, without regard to conflict-of-law rules.

Changes to These Terms

We may update these Terms. If a change is material, we will provide notice through the Service or by email before it takes effect. Continued use of the Service after the effective date means you accept the updated Terms.
